If you are using Outreachist on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms, and references to "you" include that entity.

• "Platform" or "Service" refers to the Outreachist website (outreachist.com) and all related services, features, and tools.
• "User" refers to any individual or entity that creates an account or uses our Service.
• "Advertiser" or "Buyer" refers to users who purchase services on the marketplace.
• "Publisher," "Freelancer," or "Seller" refers to users who provide services on the marketplace.
• "Offer" refers to a listing created by a Seller advertising their services.
• "Order" refers to a transaction between a Buyer and Seller for a specific service.
• "Wallet" refers to the internal account balance system for transactions.
• "Escrow" refers to our system of holding funds during order fulfillment.
• "Content" refers to any text, images, articles, or other materials submitted by users.
• "KYC" refers to Know Your Customer identity verification.

3. Eligibility

3.1 Age Requirement

You must be at least 18 years old to use Outreachist. By using our Service, you represent and warrant that you meet this age requirement.

3.2 Legal Capacity

You must have the legal capacity to enter into binding contracts. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.

3.3 Geographic Restrictions

Our Service is not available to users in countries subject to comprehensive sanctions by the United States, European Union, or United Nations. You represent that you are not located in, under the control of, or a national or resident of any such country.

4. User Accounts

4.1 Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Not share your account credentials with others
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

4.2 Account Types

• Advertiser Account: For users who want to purchase guest posts, backlinks, and digital marketing services
• Publisher Account: For website owners who want to sell guest posts and link placements
• Freelancer Account: For service providers offering SEO, content writing, and related services

4.3 Account Verification

We may require verification of your identity (KYC), email address, phone number, or website ownership. Providing false information may result in account suspension or termination.

4.4 One Account Per User

Each user may only maintain one active account. Creating multiple accounts to circumvent restrictions, manipulate the system, or engage in fraudulent activity is strictly prohibited and grounds for immediate termination.

5. Marketplace Services

5.1 Role of Outreachist

Outreachist operates as a marketplace platform connecting Buyers and Sellers. We are not a party to the transactions between users. We provide:

• A platform for listing and discovering services
• Secure payment processing and escrow
• Communication tools between parties
• Dispute resolution assistance
• Website verification and metric tracking

5.2 Services Offered

Our marketplace facilitates transactions for:

• Guest posts and sponsored content
• Text link placements and link insertions
• Press release distribution
• Banner advertising
• Influencer marketing and social media promotions
• Freelance SEO and content services

5.3 Website Listings

Publishers listing websites must:

• Own or have authorization to accept guest posts on the listed website
• Verify ownership through our verification process
• Ensure accuracy of metrics and information provided
• Comply with our quality guidelines
• Not list websites that violate our prohibited content policies

5.4 No Guarantee of Results

Outreachist does not guarantee any specific SEO results, rankings, traffic increases, or other outcomes from services purchased through our platform. Results depend on many factors outside our control.

6. Orders and Transactions

6.1 Placing Orders

When placing an order, Buyers agree to:

• Provide accurate and complete order requirements
• Ensure sufficient wallet balance for the transaction
• Respond to Seller communications in a timely manner
• Review deliveries promptly
• Provide content that complies with our policies (if applicable)

6.2 Fulfilling Orders

When accepting and fulfilling orders, Sellers agree to:

• Accept only orders they can fulfill as described
• Deliver within the specified timeframe
• Meet the quality standards described in their offer
• Communicate proactively about any issues or delays
• Provide legitimate proof of completion
• Maintain delivered content/links for the guaranteed period

6.3 Order Approval

After delivery:

• Buyers have 72 hours to review and approve or request revision
• If no action is taken within 72 hours, the order is automatically approved
• Once approved, the transaction is final and funds are released to the Seller

6.4 Revisions

Buyers may request revisions if the delivery does not meet the agreed requirements. The number of free revisions is specified in each offer. Additional revisions may be subject to extra fees.

7. Payments and Fees

7.1 Wallet System

All transactions on Outreachist use our internal wallet system:

• Buyers must deposit funds before placing orders
• Seller earnings are credited to their wallet after order completion
• Wallet balances can be withdrawn to supported payment methods

7.2 Deposit Methods

We accept deposits via:

• Credit/Debit Cards (Visa, MasterCard, American Express) via Stripe
• PayPal
• Cryptocurrency (BTC, ETH, USDT, and 100+ coins) via NOWPayments

7.3 Platform Fees

7.4 Deposit and Withdrawal Limits

• Minimum deposit: $50
• Maximum deposit: $5,000 per transaction
• Minimum withdrawal: $50
• Maximum withdrawal: $10,000 per transaction

7.5 KYC Requirements

Identity verification (KYC) is required before processing withdrawals. This helps us comply with anti-money laundering regulations and prevent fraud.

7.6 Taxes

Users are responsible for determining and paying all taxes applicable to their earnings and transactions on Outreachist. We may be required to report certain information to tax authorities.

8. Escrow and Fund Release

8.1 How Escrow Works

Our escrow system protects both Buyers and Sellers:

1. When a Buyer places an order, the payment amount is deducted from their wallet and held in escrow
2. The Seller fulfills the order according to the agreed requirements
3. The Seller submits proof of delivery
4. The Buyer reviews and approves the delivery (or it's auto-approved after 72 hours)
5. Upon approval, funds are released to the Seller's wallet minus applicable fees

8.2 Conditions for Fund Release

Funds are released to the Seller when:

• The Buyer manually approves the delivery, or
• 72 hours pass after delivery without Buyer action (auto-approval), or
• A dispute is resolved in the Seller's favor

8.3 Escrow Holds

Funds may be held longer if:

• A dispute is opened and under review
• Suspicious activity is detected
• We require additional verification
• Legal requirements mandate a hold

9. Refunds and Disputes

9.1 Eligibility for Refunds

Refunds may be issued in the following situations:

• Non-delivery: Seller fails to deliver within the agreed timeframe
• Order Cancellation: Seller cancels before delivery
• Quality Issues: Delivered work significantly differs from agreed requirements
• Link Removal: Link is removed before the guaranteed period ends
• Dispute Resolution: Our team rules in the Buyer's favor

9.2 Non-Refundable Situations

Refunds are generally not available for:

• Orders that have been approved (manually or automatically)
• Buyer's change of mind after order completion
• Issues arising from inaccurate requirements provided by the Buyer
• Dissatisfaction with SEO results (we don't guarantee rankings)
• Link removal after the guaranteed period

9.3 Opening a Dispute

If you cannot resolve an issue directly with the other party:

1. Go to the order page and click "Open Dispute"
2. Select the reason for the dispute
3. Provide a detailed explanation and evidence
4. Our team will review and make a decision within 24-48 hours

9.4 Dispute Resolution

Our dispute resolution process is designed to be fair:

• Both parties have the opportunity to present their case
• We review all evidence, messages, and order details
• Our decision is final and binding
• We may grant full refund, partial refund, or rule in Seller's favor

9.5 Chargebacks

Filing a chargeback with your bank or payment provider before attempting to resolve the issue through our platform may result in immediate account suspension. If you win a chargeback for a transaction where services were delivered as agreed, we reserve the right to pursue legal action.

10. User Conduct

10.1 Prohibited Activities

You agree not to:

• Provide false, misleading, or inaccurate information
• Create multiple accounts or use another user's account
• Circumvent fees by conducting transactions outside the platform
• Use the platform for money laundering or fraud
• Submit fake reviews or ratings
• Spam other users or engage in harassment
• Post content that violates third-party intellectual property rights
• Attempt to access systems or data you're not authorized to access
• Interfere with the proper functioning of the platform
• Use automated tools or bots without authorization
• Engage in any activity that violates applicable laws

10.2 Prohibited Content

The following content is not allowed on our platform:

• Adult or sexually explicit content
• Gambling or casino-related content (unless explicitly permitted)
• Content promoting illegal activities
• Malware, phishing, or deceptive content
• Hate speech, discrimination, or harassment
• Violence or threats
• Content that infringes intellectual property rights
• Spam or misleading content

10.3 Consequences of Violations

Violations may result in:

• Warning notifications
• Temporary account suspension
• Permanent account termination
• Forfeiture of funds (in cases of fraud)
• Legal action where appropriate

11. Content and Intellectual Property

11.1 Your Content

You retain ownership of content you submit to Outreachist. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content in connection with operating our Service.

11.2 Content Responsibility

You are solely responsible for:

• The accuracy and legality of content you submit
• Ensuring you have rights to submit any content
• Content not infringing third-party intellectual property
• Content complying with all applicable laws

11.3 Outreachist Property

The Outreachist name, logo, website design, and all related intellectual property are owned by Outreachist. You may not use our trademarks without prior written permission.

11.4 DMCA and Copyright Claims

If you believe content on our platform infringes your copyright, please contact us at legal@outreachist.com with:

• Description of the copyrighted work
• Location of the allegedly infringing content
• Your contact information
• A statement that you have a good faith belief the use is unauthorized
• Your physical or electronic signature

12. Limitation of Liability

12.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the Service will be uninterrupted or error-free
• Warranties regarding the accuracy of website metrics
• Warranties regarding SEO results or rankings

12.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUTREACHIST SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, or business opportunities
• Any damages arising from your use or inability to use the Service
• Any conduct or content of third parties on the Service
• Any unauthorized access to your account or data

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO OUTREACHIST IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12.3 Third-Party Services

We are not responsible for third-party services integrated with our platform, including payment processors, analytics providers, or external websites. Your use of such services is subject to their respective terms and policies.

13. Indemnification

You agree to indemnify, defend, and hold harmless Outreachist and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you submit to the platform
• Your interactions with other users

14. Termination

14.1 Termination by You

You may close your account at any time by:

• Completing or canceling all pending orders
• Withdrawing your available balance
• Contacting support to request account deletion

14.2 Termination by Us

We may suspend or terminate your account at any time for:

• Violation of these Terms
• Fraudulent or illegal activity
• Repeated policy violations
• Inactivity for extended periods
• Any reason at our sole discretion with reasonable notice

14.3 Effect of Termination

Upon termination:

• Your right to access the Service immediately ceases
• Pending orders may be cancelled
• You may forfeit funds in cases of Terms violations or fraud
• Provisions that should survive termination will remain in effect

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

15.2 Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved as follows:
